Eventbrite Studio Terms of Service
1. Accepting These Terms
1.1 Who’s Who.
Eventbrite is a ticketing and registration platform dedicated to bringing the world together through live experiences. Through our platform, mobile apps and services, we enable people all over the world to create, discover, share and register for events.
Eventbrite's products, features and offerings are available (a) online through various Eventbrite properties including without limitation, Eventbrite, Eventbrite Communities, Eventbrite Go, Eventbrite Music, Eventbrite Studio, Eventbrite Venue, Lanyrd, Picatic, Rally, Ticketea, Ticketfly, nvite ("Site(s)"); (b) off platform, including without limitation, RFID, entry management, sponsorship and marketing or distribution services; and (c) through mobile applications, webpages, application programming interfaces, and subdomains ("Applications"). (a), (b), and (c) are collectively referred to as our "Services". Eventbrite is a Delaware corporation with its principal place of business at 155 5th Street, Floor 7, San Francisco, CA 94103, Reg. No. 4742147 ("Eventbrite," "us," "we" or "our"). When these terms mention "Eventbrite," "we," "us," or "our," it refers to Eventbrite, Inc. and its Affiliates, and subsidiaries, and each of its and their respective officers, directors, agents, partners and employees. An "Affiliate" of any entity means any person or entity that controls, is controlled by, or that is under common control with, such entity, whether as of the date of your agreement to this Merchant Agreement or thereafter. For purposes of this Agreement, "control" means ownership or control, directly or indirectly, of more than 20% of the outstanding voting stock of an entity or otherwise possessing the power to direct the management and policies of an entity. Affiliates of Eventbrite include without limitation, Eventbrite Argentina, Eventbrite Brazil, and Eventbrite US, and also Ticketea, Ticketfly, Inc. and TSTM Group Limited.
When we refer to “Eventbrite Studio Services” or “Studio Services” we mean the services provided by Eventbrite in connection with Eventbrite Studio subscription as described in these terms as well as the Services as defined in the above paragraph that are provided or made accessible to Eventbrite Studio subscribers in connection with their Eventbrite Studio subscription (“Studio Services”).
1.2 Eventbrite Studio.
Eventbrite Studio is a membership subscription program offered by Eventbrite that provides benefits, consistent with these Eventbrite Studio Terms of Service (“Studio Terms”), to eligible individuals who successfully enroll, pay the monthly or annual subscription fee (“Subscription Fee”), and maintain a valid subscription. When these terms refer to “Studio Benefits” we mean the benefits available to members of the Eventbrite Studio program as set forth in Section 4 below, and which may change from time to time.
Eventbrite Studio is only available in certain areas. Eventbrite makes no guarantee regarding the availability of Eventbrite Studio subscriptions generally or in any specific geographical locations. By signing up for an Eventbrite Studio subscription you accept the Studio Terms.
2. Incorporation of Eventbrite Legal Terms and Terms of Service.
3. Studio Membership Requirements.
Eventbrite Studio is available only in select areas. You must be a resident of one of the selected countries, have a billing address in that country, and have reached the age of majority in that country, to enroll as an Eventbrite Studio subscriber and receive the benefits of membership in Eventbrite Studio as described in Section 4 below (“Studio Benefits”). If Eventbrite Studio is available in your area, and you meet the eligibility requirements set forth above in Section 3.1, you may sign up for a subscription by clicking on the Eventbrite Studio link in the right-hand navigation menu of your Eventbrite account page, or through other parts of the Eventbrite platform as may be made available for that purpose. From there, you may click on “Pricing” to enter in your payment information and sign up for a Studio subscription and begin publishing immediately thereafter. Alternatively, you may click on “My Collections” and have the ability to select themes and create and view unpublished customized collections; however, you will be required to enter your payment information and purchase a Studio subscription in order to publish your collections.
When you register for Eventbrite Studio, you must provide accurate and complete information for a valid payment method that you are authorized to use.
3.3. Your Information
3.4 Subscription Fee
The Eventbrite Studio subscription Fee (“Subscription Fee”) may vary by country, and may be paid monthly in the case of a monthly subscription, or as a single up-front payment, and annually thereafter, for an annual subscription. The precise amount of the Subscription Fee will be displayed in the purchase flow for your subscription. Visit the Eventbrite Studio Help Center page for additional information on program availability and subscription rates.
From time to time, we may offer different membership terms and/or Subscription Fees, and the Subscription Fee may increase. If the pricing for your Eventbrite Studio subscription increases, we will notify you, and provide you an opportunity to change your subscription before applying those changes to your account or charging your payment details in connection with an automatic renewal. The notification will inform you of how long you have to change your subscription before the changes become effective. Your continued use of Studio Services after the changes have been made will constitute your acceptance of the changes. If you do not wish to continue subscribing with the new subscription fees and/or new membership terms, you may cancel your subscription. If you accept the new subscription, its terms and conditions will apply for that renewal and all renewals going forward until you cancel.
The Subscription Fee is non-refundable except as expressly set forth in these Terms and/or in accordance with applicable law, such as described in section 6 below. Taxes may apply on the Subscription Fee.
3.5 Automatic Renewal (“Auto-Renew”)
By purchasing an Eventbrite Studio subscription, you are subscribing to an automatically renewing subscription requiring recurring payments on either a monthly or annual basis, depending on your selection, and you agree that your Eventbrite Studio subscription will automatically renew each month or year, as applicable, until canceled or terminated. You authorize us (without notice to you, unless required by law) to charge any valid payment method we have on file for you to collect the then-applicable subscription fee and any and all applicable taxes on the auto-renewal date (“Auto-Renewal Date”) as reflected on your billing and subscription management page (“Studio Subscription Page”), which is accessible to Eventbrite Studio members who are logged into Eventbrite at https://www.eventbrite.com/studio/billing.
You acknowledge and agree that your Eventbrite Studio subscription will automatically renew unless, prior to the end of the current period of effectiveness of your Eventbrite Studio subscription: (a) your account is terminated or canceled as described in Section 3.4 above or Section 5 below; (b) Eventbrite declines to renew your Eventbrite Studio subscription; or (c) these Terms are otherwise terminated as expressly permitted herein.
3.6 First Month Free
When you select your preference for a monthly or an annual subscription, you may be offered a one month “trial” subscription. The purpose of the trial is to enable you to become familiar with the service before you begin paying subscription fees. This free period is only made available to you once you have committed to your preferred subscription and, at the end of the free period, you will automatically convert to your monthly or annual fees. You only receive the free thirty (30)-day period once – if you have previously enjoyed a trial period and you later re-subscribe, that benefit is not repeated.
3.7 Studio Promotions
We may offer discounts or other offers ("Studio Promotions"), some of which may be redeemable with a promotional code ("promo code"), in connection with a Studio subscription. Unless otherwise stated, Studio Promotions are not valid for multiple uses by the same person, are non-transferrable, may not be resold, and are not redeemable for cash or other consideration. Studio Promotions may be limited in scope or duration. Eventbrite may in its discretion withdraw, limit, expire, modify, or cancel any Studio Promotions at any time. If your Studio account is canceled, you may forfeit any pending, current, or future Studio Promotions associated with your account without prior notice to you. Studio Promotions are subject to the Studio ToS, the Eventbrite ToS, and any other restrictions and/or conditions per the terms of the Studio Promotion.
3.8 Valid Payment Method Required
To obtain the benefits of your Eventbrite Studio subscription (as described in Section 5 below), you are required to maintain a valid credit card payment method on file in your Eventbrite Studio profile. You can visit your Billing and Subscription Page to update your payment method and other personal information.
If your Subscription Fee is not paid in a timely manner, or we are unable to process your transaction using the payment method on file and you do not promptly provide a new eligible payment method in your account on your Manage Subscription Page, we reserve the right to suspend, disable, cancel or terminate your Eventbrite Studio subscription, and you may lose access to Studio Benefits between the unsuccessful payment attempt and any suspension, disabling, cancellation, or termination of your Eventbrite Studio subscription. Notwithstanding the foregoing, if you provide us with a new eligible payment method within fourteen (14) days of an unsuccessful payment attempt, and we are able to successfully charge your new valid payment method during that time, your new Eventbrite Studio subscription start date will be based on the Auto-Renewal Date and not the date of the successful charge. If your access to Studio Services was suspended or disabled during the 14-day period, such access will be restored following the successful charge.
If Eventbrite is unable to issue Studio Benefits to you because you do not have a valid payment method on file, Eventbrite is not required to make additional attempts to do so. However, Eventbrite and/or Stripe on our behalf may notify you via email if your payment method is declined or is no longer valid and offer you the opportunity to promptly update your payment information with a valid payment method to receive any validly accrued Studio Benefits under these Terms.
Eventbrite does not and will not provide banking, deposit taking, stored value, insurance or any other financial services to Eventbrite Studio members.
4. Membership Benefits.
Subject to the limitations described in these Terms, including those in Section 6 below, your Eventbrite Studio subscription includes the following benefits for any one-month period you are enrolled in the program (“Qualifying Month”):
- Theme Library. Studio members have access to a library of website themes that can be previewed and/or applied to their “collections” of events, as defined below.
- Create and Manage Collections. Each event selected to be part of a collection will be included on the event list page and have a unique event detail page. Studio members may create collections of subsets of their events, and may configure those collections to automatically add new events as they are published in the member’s Eventbrite account.
- Studio Editor. Studio members may use the “Studio Editor” to customize and edit website themes featuring the Studio member’s brand elements, such as logos, brand colors, header/background images, social media links, and other text.
- Mapped Domain URLs. Subject to the limitations in Section 9 below and the Eventbrite Legal Terms, including but not limited to the Eventbrite Community Guidelines and the Eventbrite Trademark & Copyright Policy, as noted in Section 2, above, Studio members may publish websites through Eventbrite Studio with mapped domain URLs (also known as “vanity domains”). Such domains may be mapped to a particular collection of events.
- Mobile Optimization. Eventbrite Studio websites are optimized for mobile devices.
From time to time, Eventbrite may choose in its sole discretion to add, modify, or remove benefits and features in the Eventbrite Studio membership. The features and benefits included in Eventbrite Studio membership may be found at the Eventbrite Studio Help Center. Eventbrite does not represent or warrant that particular benefits or features will be offered indefinitely and reserves the right to change the prices for or modify the features and benefits associated with your Eventbrite Studio subscription after reasonable notice to you.
5. Cancellation and Termination.
You may cancel your Eventbrite Studio subscription any time by visiting the Billing and Subscription Info Page and adjusting your subscription settings at https://www.eventbrite.com/studio/billing or by emailing us at firstname.lastname@example.org. Except where you exercise your right to cancel your subscription in accordance with section 3.4 due to a change in our subscription terms or fees, you must cancel your Eventbrite Studio subscription at least one (1) business day (Monday through Friday) before your Auto-Renewal Date to avoid billing of the next periodic subscription fees to your account. In the event of cancellation, you may continue to use your Eventbrite Studio subscription and receive Studio Benefits until the end of the Qualifying Month, at which point your subscription, and access to Eventbrite Studio benefits, will end.
We may terminate your Eventbrite Studio subscription at our discretion without notice. If we do so, we will either provide a credit or refund in proportion to your remaining Studio Benefits, or will extend your Studio membership until your next scheduled payment date, at which point it will terminate. However, your membership may be terminated immediately, without extension, credit, refund, or any other consideration, for conduct that violates these Terms, the Eventbrite Legal Terms at https://www.eventbrite.com/l/LegalTerms, our Community Guidelines, or any applicable law, or involves fraud or misuse of the Services, the Eventbrite Studio subscription, or Eventbrite Studio Services. Our failure to enforce or insist upon your strict compliance with these Terms will not constitute a waiver of any of our rights.
5.3 Retention of Information
Following cancellation or termination for any reason, it is our practice to retain information relevant to your account for a short period of time in case we have cause to engage in further dialogue with you. If you do not wish us to retain such information, please notify us and we will destroy it unless we have a legal right of retention.
6. Refunds and Consumer Rights.
- YOUR SUBSCRIPTION FEE IS NON-REFUNDABLE UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW.
- Please refer to the Eventbrite Terms of Service, including but not limited to Section 27 (titled “Additional Clauses for Users in Certain Locations”), for additional information.
7. Communication Preferences.
We may send you information relating to your account, including but not limited to notices, payment authorizations, invoices, account changes, payment notifications, and confirmation messages, in electronic form only, for example via emails to your email address provided during the sign-up process or via notification within the Services and/or Studio Services. You agree that any communications we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing or be delivered in a particular manner. You agree to keep your contact information, including your email address, current.
Eventbrite uses Stripe to process Eventbrite Studio subscription payments and issue Studio Benefits. You agree to receive notices and other communications from Stripe on our behalf, including payment receipts and notifications regarding your payment method. You acknowledge and agree that in the event the payment method on file for your Eventbrite Studio subscription is no longer valid, Eventbrite, and/or Stripe on our behalf, may notify you via email to update your account with a valid payment method.
8. Account Management and Access.
The Eventbrite Studio Member who created the account and whose Payment Method is charged (the "Account Owner") has access and control over Eventbrite Studio subscription preferences and settings, including payment methods and renewal settings, and is responsible for any activity that occurs through the subscription account. To maintain control over the account and prevent anyone from accessing the account in an unauthorized manner, the Account Owner should not reveal to third parties the account password or details of the payment method(s) associated with the account. The Account Owner is responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We reserve the right to suspend or terminate an Eventbrite Studio membership and/or account in order to protect an account, Eventbrite, or Eventbrite’s partners, from identity theft or other fraudulent activity.
9. Other Limitations.
- We reserve the right to accept or refuse Eventbrite Studio membership.
- You may not transfer or assign your Eventbrite Studio membership.
- If you publish websites through Eventbrite Studio with mapped domain URLs (also known as “vanity domains” or “masked domains,” you are fully responsible for purchasing and maintaining all aspects of your non-Eventbrite domain, including maintaining the https certificate. Eventbrite does not offer any services relating to domains provided by, registered, or otherwise maintained by third parties.
10. Agreement Changes.
Subject to Section 3.4, we may change these Terms, or any aspect of Eventbrite Studio membership, including suspending or ending the Eventbrite Studio program, without notice to you. If any change to these Terms is found to be void, invalid, or unenforceable for any reason, that change is severable and does not affect the validity and enforceability of any other changes or conditions. IT IS YOUR RESPONSIBILITY TO MONITOR THESE TERMS FOR CHANGES. YOUR CONTINUED MEMBERSHIP AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR SUBSCRIPTION.
11. Limitation of Liability.
IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN THE EVENTBRITE TERMS OF SERVICE INCORPORATED HERE BY REFERENCE, OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST EVENTBRITE STUDIO SUBSCRIPTION FEE YOU PAID. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR EVENTBRITE STUDIO MEMBERSHIP. FOR THE AVOIDANCE OF DOUBT, THE FOREGOING LIMITATION DOES NOT APPLY IN THE CASE OF ANY LIABILITY ARISING UNDER PART 3-1 OR ANY CONSUMER GUARANTEE IMPLIED UNDER PART 3-2 DIVISION 1 OF THE AUSTRALIAN CONSUMER LAW.
